Welcome to Dynameyes s.r.o. (“Company”, “we”, “our”, “us”). These Terms and Conditions (“Terms”) govern your use of our services, website, and products. By accessing or using our services, you agree to comply with these Terms. If you do not agree, you must refrain from using our services.

• Services: Integration, testing, and support services offered by Dynameyes for Samsara tachograph reports.
• User/Client: Any individual, company, or entity that uses our services or accesses our website.
• Agreement: The legally binding contract formed between the User and Dynameyes upon acceptance of these Terms.
• GDPR: General Data Protection Regulation (Regulation (EU) 2016/679).

Dynameyes provides the following services:
1. Tachograph Data Integration: Seamlessly integrating Samsara tachograph data into client systems.
2. Trial and Testing: Pilot programs and feature testing.
3. Support and Maintenance: Ongoing technical support, troubleshooting, and system monitoring.
4. Custom Solutions: Developing tailored features to meet client-specific needs.

Details of services, fees, and timelines are outlined in individual client agreements.

4. User Obligations

By using our services, you agree to:
1. Provide Accurate Information: Submit accurate and up-to-date information during registration or communication.
2. Comply with Applicable Laws: Ensure your usage of our services aligns with applicable laws, including GDPR.
3. Safeguard Credentials: Protect your login credentials and inform us immediately in case of unauthorized access.
4. Avoid Misuse: Refrain from using our services for illegal activities, data breaches, or actions that harm our systems.

5. Fees and Payment

1. Pricing: Fees for services (e.g., €5/month pilot fee) are outlined in the agreement. All prices exclude VAT unless otherwise specified.
2. Payment Terms: Invoices are issued monthly and payable within 14 days. Non-payment may result in suspension of services.
3. Billing Partner: Payments are processed by bld.ai, our billing partner based in Florida, USA, ensuring secure transactions.

6. Trial Programs

Dynameyes offers trial services for a nominal fee:
• Duration: Trials typically last 30 days, unless otherwise agreed.
• Limitations: Some features may be restricted during the trial period.
• Termination: Either party may terminate the trial without obligation.

7. Termination of Services

1. Termination by User: Users may terminate their contract at any time by providing written notice via email.
2. Termination by Dynameyes: We may terminate or suspend services if:
• Payment is overdue.
• There is a breach of these Terms.
• Continued service becomes impracticable due to legal or operational reasons.
3. Effect of Termination: Upon termination, access to services ceases immediately, and any outstanding fees become payable.

8. Intellectual Property

1. Ownership: All content, trademarks, logos, and software provided by Dynameyes are our intellectual property or used under license.
2. Usage Rights: Users are granted a limited, non-transferable license to use the services for the agreed purpose. Any unauthorized use is prohibited.

9. Liability

1. Limitation of Liability: Dynameyes is not liable for:
• Indirect, incidental, or consequential damages.
• Loss of data resulting from misuse, third-party actions, or force majeure.
2. Service Interruptions: While we strive for uptime, we are not liable for interruptions beyond our control (e.g., server outages, cyberattacks).
3. Maximum Liability: Our total liability is limited to the fees paid by the User in the preceding 3 months.

10. Data Protection

1. Compliance with GDPR: We process personal data in accordance with our Privacy Policy and applicable data protection laws.
2. User Responsibilities: Users must ensure compliance with GDPR and other laws when providing data for integration purposes.
3. Data Transfers: Data transfers outside the EU (e.g., to bld.ai) are protected by Standard Contractual Clauses (SCCs).

11. Confidentiality

1. Non-Disclosure: Both parties agree to keep all confidential information secure and not disclose it to unauthorized third parties.
2. Exceptions: Disclosure is permitted where required by law or with prior written consent.

12. Dispute Resolution

1. Governing Law: These Terms are governed by the laws of the Czech Republic.
2. Jurisdiction: Any disputes arising from this Agreement shall be resolved in the courts of Prague, Czech Republic.
3. Amicable Settlement: Parties agree to attempt to resolve disputes amicably before resorting to legal action.

13. Amendments to Terms

Dynameyes reserves the right to modify these Terms at any time. Users will be notified of material changes via email or website announcements. Continued use of our services after such changes constitutes acceptance of the updated Terms.

14. Force Majeure

We are not responsible for delays or failures caused by events beyond our control, including but not limited to natural disasters, government actions, and cyberattacks.
